Welcome to TaxPulse. These Terms of Service ("Terms") are a legal agreement between you and TaxPulse Inc., a company registered in Fajardo, Puerto Rico ("TaxPulse," "we," "us," or "our"). These Terms govern your access to and use of the TaxPulse platform, including our website, tax-practice management tools, client and return management, document collection, e-signature and engagement features, and all related services (collectively, the "Service"). By creating an account, you agree to be bound by these Terms.
By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, our Data Processing Agreement, and any additional terms applicable to specific features you use. If you do not agree, you may not use the Service.
If you are using the Service on behalf of an organization (such as a tax firm or accounting practice), you represent and warrant that you have authority to bind that organization to these Terms.
You must be at least 18 years old and a legal resident of the United States to use the Service. By using TaxPulse, you represent that you meet these requirements and that all information you provide during registration is accurate and complete.
You must register for an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at sales@taxpulse.app if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to other users or the platform.
TaxPulse provides software for running a tax practice, including:
TaxPulse is a software tool. It does not prepare tax returns, provide tax, legal, or accounting advice, or file returns on your behalf.
You are solely responsible for the accuracy of any tax return, calculation, or filing you produce using the Service, and for compliance with all professional obligations applicable to you, including IRS Circular 230, PTIN/EFIN requirements, and any state registration or licensing rules. Any tax calculations, rates, or figures presented by the Service are provided for convenience and must be independently verified by a qualified preparer before use. You must not engage in the unauthorized practice of tax preparation.
You agree not to use the Service to:
Your Data: You retain ownership of all data you upload, create, or generate through the Service, including client records, taxpayer information, documents, and communications ("Your Data"). You grant TaxPulse a limited, non-exclusive license to process Your Data solely to provide and improve the Service, as further described in our Privacy Policy and Data Processing Agreement.
Platform Data: TaxPulse retains ownership of aggregated, de-identified analytics and any proprietary software, models, or features developed as part of the Service.
Data Portability: You may export Your Data through the platform's export features. Upon account termination, we will retain Your Data for 30 days to allow you to export it, after which it will be deleted unless a longer retention period is required by law (including tax recordkeeping rules).
The Service may include AI-assisted features (such as document extraction, summaries, and suggestions) and may record calls where you enable that feature. You are solely responsible for complying with all federal and state laws regarding call recording consent and for reviewing any AI-generated output. AI-generated content is provided for informational purposes only and is not tax, legal, or professional advice.
Certain features require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees described at the time of purchase. See our Billing & Refund Policy for details on billing cycles, refunds, and cancellation.
The Service may be offered on a pre-release or beta basis. Beta features are provided "as is," may change or be withdrawn at any time, and may contain errors. We may invite you to provide feedback; any feedback you provide may be used by TaxPulse without restriction.
The Service, including all software, design, text, graphics, logos, and trademarks, is owned by TaxPulse Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
The Service relies on third-party infrastructure, payment, and communications providers to operate. Your use of any third-party service is subject to that provider's terms. TaxPulse is not responsible for the availability, accuracy, or practices of third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAXPULSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO TAXPULSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless TaxPulse and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or professional obligation.
You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service ceases immediately, but Sections 7, 11, 13–15, and 17–23 shall survive.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of laws principles. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Puerto Rico. You agree to waive any right to a jury trial or to participate in a class action.
We may modify these Terms at any time by posting the updated version on our website. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy, Billing & Refund Policy, Data Processing Agreement, and TCPA Disclosure, constitute the entire agreement between you and TaxPulse regarding the Service and supersede all prior agreements and communications, whether written or oral.
The failure of TaxPulse to enforce any right or provision of these Terms shall not constitute a waiver. Any waiver must be in writing and signed by TaxPulse to be effective.
You may not assign or transfer these Terms without our prior written consent. TaxPulse may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent.
TaxPulse shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of war or terrorism, epidemics, government actions, power failures, internet disruptions, or third-party provider outages.
